Teacher Terms & Conditions

These Teacher Terms & Conditions form a binding agreement between you ("Teacher", "you") and Panoralink Business Solutions (pvt) Ltd (PV 00286766) ("we", "us"), the operator of the clazz.lk platform. By registering or offering any class, course, quiz or content on the platform, you agree to these terms.
1. Eligibility & Account
You must provide accurate registration details and keep them current. Your teacher profile is reviewed before activation, and payouts require identity (NIC/passport) and bank verification. You are responsible for all activity under your account and for keeping your credentials secure.
2. Independent Contractor Status
You act as an independent contractor. Nothing in these terms creates an employment, agency, partnership or joint-venture relationship. You determine your own content, pricing (within platform limits), teaching methods and schedule, and you are not entitled to employee benefits such as EPF, ETF or gratuity. You bear the ordinary business risk of your own activity.
3. Content & Intellectual Property
You retain ownership of the courses, recordings, quizzes and materials you create. You grant us a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, stream, display, promote and distribute that content for the purpose of operating and marketing the platform. This licence continues after your account closes to the extent necessary to preserve access for students who have already purchased your content. You warrant that you hold all rights to the content you upload and that it does not infringe any third party's rights. See our Copyright & IP Policy.
4. Fees, Commission & Payouts
We deduct a platform commission from sales as disclosed to you in your dashboard. Your net earnings accumulate through the month and are made available for withdrawal on the scheduled monthly settlement date, subject to completed verification and any minimum withdrawal threshold. Withdrawals are paid only to a bank account matching your verified identity.
5. Taxes
You are responsible for determining and meeting your own tax obligations arising from your earnings. Where the law requires us to withhold or deduct any amount from payments to you, we will do so and account for it to the relevant authority.
6. Conduct & Prohibited Content
You must comply with our Acceptable Use Policy, Community Guidelines and Code of Conduct. You must not upload unlawful, infringing, misleading or harmful content, and you must safeguard the welfare of minor students at all times.
7. Direct Payments
Where you are enabled to accept payments directly from students, you remain responsible for delivering the enrolled service, and platform commission is recorded and payable in the ordinary way. You must not solicit students to transact off-platform to avoid fees or protections.
8. Suspension & Termination
We may suspend, restrict or remove your account or content where we reasonably believe these terms, our policies or applicable law have been breached, or to comply with a lawful directive. You may close your account at any time; obligations relating to content licences, completed sales and record-keeping survive closure.
Indemnification
You agree to indemnify and hold Panoralink Business Solutions (pvt) Ltd (PV 00286766) harmless from any third-party claim, demand, loss, liability or expense (including reasonable legal costs) arising from (a) content you upload or make available, (b) your breach of these terms or of any law, or (c) your infringement of any third party's intellectual property or other rights. We will notify you of the claim, allow you to participate in its defence, and will not settle it without your consent (not to be unreasonably withheld).
Limitation of Liability
The platform connects independent educators and students and is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Panoralink Business Solutions (pvt) Ltd (PV 00286766) shall not be liable for: the acts, omissions, content, conduct, accuracy, quality or results of any educator, student or other user; any indirect, incidental, special, punitive or consequential loss; or any loss of profits, revenue, data, goodwill or opportunity, however arising, whether in contract, tort (including negligence), statute or otherwise, even if we were advised of the possibility of such loss.
Where our liability cannot lawfully be excluded, our total aggregate liability to you for all claims connected with the platform is limited to the greater of (a) the fees you paid to us in the three (3) months before the event giving rise to the claim, or (b) LKR 10,000. These limits do not apply to liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or to any right or remedy that cannot be excluded or limited under the Consumer Affairs Authority Act No. 9 of 2003 or other applicable law.
9. Changes to these Terms
We may update these terms from time to time. Where changes are material we will notify you and, where required, ask you to accept the updated version before continuing to use the platform.
Governing Law & Regulatory Framework
This document is intended to comply with the laws of the Democratic Socialist Republic of Sri Lanka, including, where relevant, the Intellectual Property Act No. 36 of 2003, the Financial Transactions Reporting Act No. 6 of 2006, the Electronic Transactions Act No. 19 of 2006 and applicable tax and labour legislation.
These terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. The parties will first attempt in good faith to resolve any dispute by negotiation; failing that, the courts of Colombo have exclusive jurisdiction, save that any dispute may instead, by agreement of the parties, be referred to arbitration under the Arbitration Act No. 11 of 1995, seated in Colombo and conducted in English. Nothing in this clause limits any right or remedy a consumer has under the Consumer Affairs Authority Act No. 9 of 2003.
